Terms of Service

These Terms of Service are the agreement between you and StudySec. They explain what you can expect from us, what we expect from you, what you pay and when, how to cancel, what happens if something goes wrong, and the rights you have under the law. They are written to be read. If anything in them is unclear, tell us and we will fix it.

Nothing in these terms removes or limits the rights you have as a consumer under the law where you live. If a term in this agreement says something different from your statutory rights, your statutory rights win.

1.Who we are and what these terms cover

StudySec is operated by Microflow Enablement Ltd, a company registered in England and Wales (company number 17197302), with its registered office at 20-22 Venture West Greenham Business Park, Newbury, England, RG19 6HX. In this document, "StudySec", "we", "us", and "our" all refer to Microflow Enablement Ltd.

These terms cover everything we do for you under the name StudySec — our website at studysec.app, our web and mobile interfaces, our AI-powered features, your subscription, your account, and our handling of the content you put into the product. They are the contract between you and us. Together with our Privacy Policy and our Academic Integrity Statement, they describe the whole relationship.

By creating a StudySec account, ticking the box that says you agree to these terms, or paying for a subscription, you accept these terms.

You can contact us about anything in these terms by emailing legal@studysec.app. We aim to respond within five working days.

2.Who can use StudySec

2.1 Age

You must be at least 18 years old to create a StudySec account. We do not knowingly accept sign-ups from anyone under 18. We confirm your age at sign-up using a required date-of-birth field.

2.2 Capacity

You confirm that you have the legal capacity to enter into a contract under the law of your country of residence. If for any reason you do not have full legal capacity, please tell us and we will work with whoever is acting on your behalf.

2.3 Where you live

StudySec is built primarily for students in the United Kingdom and the European Union. We also accept sign-ups from Australia, New Zealand, and other countries. Some specific rights — particularly around cancellation, cooling-off periods, and consumer guarantees — depend on your country of residence and are described in the relevant sections.

2.4 One account per person

Each person may hold one StudySec account. Your account is for your personal study and is tied to one named individual. You cannot share your login, and you cannot create multiple accounts to extend the limits of your subscription tier or to start more than one free trial.

3.Your account

3.1 Creating an account

You create a StudySec account by providing your email address, choosing a password (or signing in with Google), confirming your date of birth, and agreeing to these terms and our Privacy Policy. You also enter your payment card details, which are collected by Stripe — we never see or store your card details.

Everything you provide must be accurate.

3.2 Keeping your account secure

Your StudySec account is yours alone. Keep your password secret and do not share it. If you believe your account has been accessed by someone else, email support@studysec.app immediately.

3.3 Your information and your content

Your personal information is governed by our Privacy Policy. Your content — the documents you upload, the notes you make, the research you do — is governed by section 7 of these terms. Read both.

4.The service we provide

4.1 What StudySec does

StudySec is an AI-powered study assistant for university and upper-secondary students. The product gives you a Workspace where uploaded course material, your notes, your research, your planner, and your practice quizzes live together. It uses AI agents to help you organise that material, conduct research, plan your time, and test yourself.

4.2 What we promise

We promise to deliver StudySec with reasonable care and skill. We promise that the service will, in the round, do what we say it does. We promise to keep your data secure to the standards described in our Privacy Policy.

We do not promise that the service will be free of bugs or interruption. We do promise to fix problems we are aware of within a reasonable time, and to give you the means to retrieve your work even if the service is temporarily unavailable.

4.3 AI-generated content

AI models can make mistakes. They can misunderstand context and occasionally produce content that sounds confident but is wrong. We minimise this by drawing on your own material, by showing the source of every claim, and by making it clear when something has been AI-generated.

Treat AI-generated content as a well-prepared draft for you to verify, not as a final answer.

4.4 What we do not provide

StudySec is a study assistant, not a ghostwriter. We do not write essays, exam answers, or coursework on your behalf. See section 6 and our Academic Integrity Statement.

4.5 Changes to the service

StudySec will change over time. We will add features, improve existing ones, and occasionally remove things. When we make a meaningful change, we will tell you in advance by email or in-product. If a change materially reduces the value of the service, you can cancel and receive a pro-rata refund for the unused period.

4.6 Google integrations

StudySec offers two optional Google integrations, each requiring a separate authorisation through Google's standard OAuth consent screen.

Google Calendar (Essentials and Pro)

When you connect Google Calendar, StudySec reads events from your primary calendar using incremental sync — only changes since your last sync are fetched, and results are cached. Events imported from Google appear in the StudySec planner as read-only; you cannot edit or delete them through StudySec.

On Pro, you can additionally enable calendar write-back in your settings, which allows StudySec to create new events on your primary calendar when you act on a planner suggestion, and to update or delete events that StudySec itself previously created there. StudySec cannot modify or delete events that originated in Google Calendar — those remain read-only inside StudySec regardless of whether write-back is enabled. Write-back is off by default and can be turned off at any time. It is not available on Essentials.

Google Drive (Pro only)

When you connect Google Drive, you can import files into StudySec — for example, selecting a PDF or exporting a Google Doc as a Word document — and export notes from StudySec back to Drive as Google Docs. StudySec uses the drive.file scope, which is limited to files you explicitly select or files StudySec creates on your behalf. It cannot browse or index the rest of your Drive.

Revoking access

You can disconnect either integration at any time from your account settings, or by revoking access through your Google account's security settings. Revoking access does not delete content you have already imported into StudySec.

What Google sees

Requests to these integrations pass through Google's API infrastructure. Google's use of that data is governed by the Google Privacy Policy and Google API Terms of Service, not by these terms.

5.Subscription, payment, and billing

5.1 Tiers and prices

StudySec has two paid tiers at launch:

  • Essentials — £7 per month. €8 per month for EU users. AUD 13 per month for Australian users. 150 pages processed per month, 8 research chats per month, limited practice quizzes, and Google Calendar sync (your Google events appear in the StudySec planner, read-only).
  • Pro — £12 per month. €14 per month for EU users. AUD 22 per month for Australian users. 500 pages processed, 30 research chats, unlimited quizzes, the active AI planner, Google Calendar sync with write-back (StudySec events can also be pushed to your Google Calendar), and Google Drive import and export.

All prices are inclusive of VAT or equivalent local sales tax where applicable. What you see is what you pay. We may change prices in future — where we change the price you are paying, we will give you at least 30 days' notice by email, and you can cancel before the new price takes effect.

5.2 The free trial

New accounts start with a 7-day free trial. During the trial, you have access to the AI features at a reduced usage limit: 75 pages processed, 4 research chats, and 1 practice quiz.

We collect your payment card details (through Stripe) at sign-up so that the trial can convert into a paid subscription on day 8. We do not charge anything to your card during the trial. If you do nothing, on day 8 your card is charged the Essentials price and your subscription begins. If you cancel before day 8, nothing is charged.

We send you a confirmation email when your trial starts and a reminder email three days before it ends. Both emails contain a direct link to the cancellation page.

One free trial per person.

5.3 How payment works

All payments are processed by Stripe. Your card details go directly to Stripe — we never see, store, or process your card number. You can manage your subscription, update your card, view invoices, and cancel through the Stripe customer portal in your account settings.

Each monthly charge is taken on the same day of the month as your trial converted. If a charge fails, Stripe will retry and we will email you. If the charge cannot be collected after several attempts, your account is suspended and your data is preserved but inaccessible.

5.4 Refunds and consumer cancellation rights

14-day cooling-off period (UK and EU consumers)

Because you sign up online and StudySec is a digital service, you have the right under UK and EU consumer law to cancel within 14 days of agreeing to these terms, without giving any reason.

At sign-up we ask whether you would like to start using StudySec straight away. If you say yes and later cancel, you will still get back any payment for time you have not used — but not a full refund for time already used. If you decline immediate access, you can cancel at any point during the 14 days for a full refund.

To cancel: use the cancel option in your account settings, cancel through the Stripe customer portal, or email support@studysec.app.

Ongoing cancellation (all users)

You can cancel your subscription at any time, for any reason, with no penalty. The cancellation takes effect at the end of the period you have paid for. We do not refund partial months for cancellations outside the cooling-off period.

EU Data Act switching rights (EU consumers)

If you are in the European Union, the EU Data Act gives you the right to switch away from StudySec with no more than 30 days' notice. We do not charge for switching support. We provide a data export from launch (see section 8.3) that lets you take your content with you.

Refunds in specific circumstances

Outside the cases above, we may refund subscription fees if we agree that the service has materially failed to do what we said it would. Email support@studysec.app and we will discuss it with you.

5.5 Fair use and account integrity

The following are breaches of these terms:

  • Creating more than one StudySec account.
  • Sharing a single StudySec account between two or more people.
  • Re-uploading the same content multiple times to defeat the per-month page limits.
  • Using automated scripts or non-human means to drive usage of the service.
  • Attempting to circumvent the tier limits in any other way.

Where we believe a breach has occurred but it appears to be an honest mistake, we will email you to talk about it before taking any action. Suspension is reserved for plain or repeated cases.

6.Acceptable use and academic integrity

6.1 What you agree not to do

  • Use StudySec in any way that breaks the law in your country of residence.
  • Use StudySec to harm, harass, defame, or infringe the rights of any other person.
  • Upload, generate, or store content that is illegal or that you do not have the right to use.
  • Attempt to access another user's account or interfere with the security of the service.
  • Scrape or extract data from the service in bulk by automated means.
  • Reverse engineer or attempt to derive the source code of the service.
  • Breach the fair-use rules in section 5.5.
  • Use the service to compete with us or in a way plainly inconsistent with its purpose as a study assistant.

6.2 Academic integrity

StudySec is built as an assistant, not a ghostwriter. The AI agents are designed to help you understand your material, plan your work, organise your research, and test yourself. They are not designed to produce essay paragraphs, exam answers, or coursework that you submit as your own work.

Our full position is set out in our Academic Integrity Statement. You are responsible for knowing and following your own institution's rules about the use of AI in your studies.

7.Your content and how we use it

7.1 You own your content

Everything you put into StudySec — the documents you upload, the notes you create, the research conversations you have, the planner entries you make — is yours. You retain all intellectual property rights in your content. Nothing in these terms transfers ownership of your content to us.

Your work is yours. We do not train AI models on it. We do not sell it. We do not share it beyond the providers we strictly need to deliver the service to you. When you leave, we delete it.

7.2 The narrow licence you give us

To deliver StudySec to you, we need permission to handle your content. When you put content into StudySec, you grant us a non-exclusive, royalty-free, worldwide licence to store, process, transmit, display back to you, and otherwise handle that content solely for the purpose of operating StudySec for your benefit. This licence does not give us the right to use your content for advertising, for our own marketing, for sale to third parties, or to train AI models.

7.3 Getting your content out

Your content does not become locked into StudySec. From launch, you can export your notes as Markdown files and your account data as a structured JSON file through your account settings. The export is delivered to you by email as a download link valid for 7 days. You can request a new export at any time.

7.4 What happens when you cancel or delete

If you cancel your subscription, your content stays in your account until the end of the period you have paid for. After that, your account becomes inactive but your content is preserved for 90 days in case you want to come back; after 90 days, your content is deleted.

If you delete your account, the deletion process described in our Privacy Policy applies: standard deletion (14-day grace period, then full deletion) or immediate deletion (no grace period).

8.Our content and intellectual property

StudySec — the name, the brand, the website, the application, the underlying code, the user interface, the AI prompts and configurations — is owned by Microflow Enablement Ltd or licensed to us by our suppliers. We grant you a personal, non-exclusive, non-transferable, revocable licence to use StudySec for your own personal study during the period of your subscription.

9.Suspension, restriction, and termination

9.1 Your right to terminate

You can cancel your subscription, end your free trial, or delete your account at any time, for any reason, without penalty. The mechanics are described in section 5 and our Privacy Policy.

9.2 Our right to suspend, restrict, or terminate

We may suspend or close your account if:

  • you breach these terms in a material way and do not put it right when we ask
  • your payment cannot be collected for an extended period after the standard retry process
  • we are required to do so by law or by a valid order from a court or regulator
  • continuing to provide the service to you would expose us, you, or another user to significant legal, security, or safety risk
  • your use of the service is plainly and persistently inconsistent with the fair-use or acceptable-use rules, after we have raised it with you

Our default in any of these situations is to talk to you first. Account closure with no notice is reserved for situations where there is a genuine immediate risk. If we close your account, you retain access to download your content for 30 days after closure.

9.3 What suspension means

A suspended account is preserved but inaccessible: you cannot log in, but your content is not deleted. We will tell you why your account has been suspended and what would resolve the suspension.

10.What you can claim from us if something goes wrong

10.1 What we are responsible for

We are responsible for losses you suffer as a direct result of our breaking these terms or our failing to provide the service with reasonable care and skill. Where the law gives you specific consumer rights — to the service being of satisfactory quality, fit for purpose, performed with reasonable care and skill, or matching its description — we honour those rights in full.

10.2 What we are not responsible for

We are not responsible for losses we could not have reasonably foreseen or that are caused by something outside our reasonable control, including:

  • you using AI-generated content for an academic submission without verifying it
  • a missed deadline that the planner did not catch because you did not enter it
  • third-party services (Google Calendar, Google Drive) being unavailable or behaving in ways we did not anticipate
  • changes to your Google Calendar — events created, updated, or deleted — where those changes were made through the calendar write-back feature you enabled and were triggered by actions you took in StudySec; note that StudySec can only delete events it originally created, not events that originated in Google Calendar

10.3 Liability cap

Where we are responsible for losses you suffer, our total liability to you under these terms in any 12-month period is limited to the amount you have paid us in that 12-month period.

10.4 What this cap does not cover

Nothing in these terms limits or excludes:

  • our liability for death or personal injury caused by our negligence
  • our liability for fraud or fraudulent misrepresentation
  • any other liability that cannot be limited or excluded under the law of your country of residence

In the United Kingdom, this includes liability under the Consumer Rights Act 2015. In the European Union, it includes mandatory rights under the Consumer Rights Directive and the Digital Content and Digital Services Directive. In Australia, it includes the consumer guarantees in the Australian Consumer Law. In New Zealand, it includes the guarantees in the Consumer Guarantees Act 1993.

11.Privacy and data protection

How we handle your personal information is described in our Privacy Policy. If you have a question about your personal information, email privacy@studysec.app. If you have a question about these terms, email legal@studysec.app.

12.Changes to these terms

Material changes — changes to the service, your rights, our obligations, prices, or refund rules — are notified to you by email at least 30 days before they take effect. You can cancel your subscription before the new terms take effect if you do not accept them.

Non-material changes — clarifications, formatting, fixing typos, updating contact details — take effect when we update the document. We update the "Last updated" date at the top of the page.

13.Disputes, governing law, and how to complain

13.1 Talk to us first

If something has gone wrong, please tell us. Email legal@studysec.app for issues about these terms, support@studysec.app for issues about the product, or privacy@studysec.app for issues about your personal information. We aim to respond within five working days.

13.2 Complaints about personal information

The UK Data (Use and Access) Act 2025 introduced an explicit right for you to complain directly to us about how we are handling your personal information. Email privacy@studysec.app. We will acknowledge your complaint within 30 days.

13.3 Governing law and jurisdiction

These terms are governed by the law of England and Wales. Any dispute is subject to the non-exclusive jurisdiction of the English courts. If you are a consumer resident in the EU, you retain the right to bring proceedings in the courts of your country of residence. If you are a consumer resident in Australia or New Zealand, you may also have rights to bring proceedings in your local courts under your local consumer law. Nothing in these terms removes those rights.

13.4 If part of these terms cannot be enforced

If a court decides that part of these terms cannot be enforced, the rest continues to apply.

13.5 Assignment

We may transfer our rights and obligations under these terms to another business — for example, if Microflow Enablement Ltd is acquired. We will tell you in advance by email and you will have the opportunity to cancel before the transfer takes effect.

13.6 Entire agreement

These terms, together with our Privacy Policy and our Academic Integrity Statement, are the entire agreement between you and us about StudySec.
